Notice Regarding Completion of Transition to Holding Company Structure

Become a group that thrives over hundreds of years

Today, we have completed our transition from a business holding company structure to a position closer to that of a pure holding company by transferring our infrastructure business and other operations to GMO AD Partners Inc. This marks our first step towards building a solid management foundation to achieve the goal of "Become a group that thrives over hundreds of years."

We will take a position similar to that of a pure holding company and specialize in group management functions. Specifically, we will focus on optimizing business portfolio while building a foundation for powerful group synergies. We will continue to strengthen our organization to realize sustainable growth for the entire group.

We will also further strengthen the group's strength of "independent management". By promoting the delegation of authority to each group company, we will achieve more agile decision-making and accelerate growth.

The scheme of the intra-group reorganization is shown here. On January 1, 2025, the effective date, GMO Internet Group, Inc. has transferred its infrastructure business and other operations to GMO AD Partners Inc. GMO AD Partners Inc. has changed its name to "GMO Internet, Inc." and makes a new start as a Prime Market-listed company on the Tokyo Stock Exchange. By integrating GMO AD Partners, which operates the online advertising and media business, with our infrastructure business (domains, cloud hosting, and access), we will pursue speedy business development that leverages our respective strengths.

The reorganization only involves the infrastructure and advertising media businesses operated by GMO Internet Group, Inc. There is no change in the position of each listed and unlisted group company in which we hold shares. As a holding company specializing in group management functions, we will continue to meet the expectations of our shareholders as a Prime Market-listed company on the Tokyo Stock Exchange.

Through these corporate actions, we will strive to build a group that will thrive for hundreds of years and achieve sustainable growth, and as a result, we will focus our efforts on group management to achieve our super-long-term "55-Year Plan."
